1. Introduction
These Terms & Conditions (“Agreement”) govern your (“Customer”, “you”, “your”) use of the services provided by Washington Construction (“Company”, “we”, “us”, “our”). By executing a Service Agreement, submitting an order, permitting us to perform work, or otherwise engaging our services, you agree to be bound by this Agreement. If you do not agree, you may not engage our services.
2. Services
2.1 We provide construction services including, but not limited to, site preparation, structural work, framing, concrete, remodeling, and related construction services for residential and commercial properties.
2.2 The specific scope of services, deliverables, timing, pricing, and any special terms will be set forth in a separate written Service Agreement, work order, or quote signed or accepted by you.
2.3 Any additional or modified services beyond the signed scope must be confirmed in writing and may incur additional charges.
3. Customer Responsibilities
3.1 You must provide full, safe, and timely access to the property, utilities, permits (if required), and any required approvals (HOA, community, landlord).
3.2 You represent that you are the owner or authorized agent of the property, that the work is lawful, and that no hazardous conditions (including but not limited to unsafe structures, unstable soil, unpermitted work, or interference with utilities) exist or will be corrected before our work begins.
3.3 You agree to follow safety instructions and any usage or maintenance guidelines provided by us.
3.4 You will notify us promptly if any issues, damage, or concerns arise.
4. Pricing, Payment & Cancellation
4.1 Pricing is set in your written quote or Service Agreement. Unless otherwise specified, payment is due upon completion of services and invoice issuance. Deposits may be required.
4.2 If services are scheduled but canceled by you within 48 hours of the scheduled start, a cancellation fee may apply.
4.3 Late payments may incur interest.
4.4 We reserve the right to suspend work or withhold deliverables if payment is not received when due.
5. Changes to Services & Delays
5.1 We may revise schedules due to weather, site conditions, access issues, safety hazards, inspections, or material delays.
5.2 Customer-requested changes may result in additional costs and revised timelines.
5.3 We are not liable for delays caused by conditions beyond our control.
6. Warranties & Disclaimers
6.1 We warrant that our work will be performed with reasonable care and workmanship consistent with industry standards.
6.2 Except as expressly stated, all warranties are disclaimed, including implied warranties of merchantability or fitness for a particular purpose.
6.3 We do not guarantee that no defects, delays, or issues will occur.
6.4 You assume responsibility for risks related to site conditions, undisclosed hazards, or failure to follow guidance.
7. Limitation of Liability
7.1 Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.
7.2 We are not liable for indirect, incidental, or consequential damages (including lost profits or business interruption).
7.3 Where limitations are not permitted by law, liability will be limited to the maximum extent allowed.
8. Intellectual Property
8.1 All plans, designs, drawings, and materials remain our property unless otherwise agreed in writing.
8.2 You may not reproduce or distribute our materials without written consent.
9. Permits, Codes & Compliance
9.1 You are responsible for ensuring compliance with permits, zoning, HOA approvals, and applicable building codes unless otherwise stated in writing.
9.2 We may assist, but this does not transfer responsibility.
9.3 We reserve the right to refuse or stop work if unsafe or non-compliant conditions exist.
10. Term and Termination
10.1 This Agreement remains in effect until project completion unless terminated earlier.
10.2 Either party may terminate upon written notice for material breach.
10.3 We may terminate immediately for non-payment, unsafe conditions, or non-compliance.
10.4 You remain responsible for all work completed and associated costs.
11. Project Conditions & Site Responsibility
11.1 Construction sites may involve noise, debris, and restricted access. You agree to maintain a safe environment during the project.
11.2 You are responsible for securing personal property and ensuring access for crews and equipment.
11.3 Any unforeseen site conditions (e.g., soil instability, hidden utilities, structural issues) may result in additional costs.
12. Safety & Insurance
12.1 We maintain general liability insurance.
12.2 Our insurance does not cover pre-existing site conditions or customer negligence.
12.3 You agree to maintain appropriate property insurance.
12.4 Any incidents must be reported promptly.
13. Force Majeure
Neither party is liable for delays caused by events beyond reasonable control, including weather, natural disasters, supply shortages, or government actions.
14. Amendments
We may update these Terms & Conditions at any time. Continued use of our services constitutes acceptance of revised terms.
15. Governing Law & Dispute Resolution
15.1 Governed by the laws of the State of Washington.
15.2 Disputes shall first be resolved through good faith negotiation.
15.3 If unresolved, disputes will proceed to binding arbitration in King County, Washington.
15.4 The prevailing party may recover legal fees.
16. Severability & Waiver
If any provision is found unenforceable, the remainder remains valid. Failure to enforce any provision is not a waiver.
17. Entire Agreement
This Agreement, along with the Service Agreement or Quote, constitutes the full agreement between parties.
